Standard Video Production Terms and Conditions
1. Definitions
- "Producer" refers to accretion.tv.
- "Client" refers to the individual or entity commissioning the video production.
- "Project" refers to the video production work as outlined in the agreed-upon proposal.
2. Scope of Work
The Producer agrees to produce video content for the Client as outlined in the approved project proposal. Any changes to the scope of work must be agreed upon in writing by both parties.
3. Payment Terms
- A non-refundable deposit of 50% of the total project cost is due upon signing of the contract.
- The remaining balance is due upon delivery of the final video product.
- Late payments will incur a 1.5% interest charge per month.
4. Revisions and Alterations
- The agreed-upon price includes 3 rounds of revision and one "polish".
- Additional edit revisions will be billed at the Editor's standard hourly rate.
5. Client Responsibilities
- The Client agrees to provide all necessary information, access, and materials required for the Project in a timely manner.
- Delays caused by the Client may result in additional charges and/or extended deadlines.
6. Intellectual Property Rights
- The Producer retains copyright of all produced materials until full payment is received.
- Upon full payment, the Client is granted a perpetual, worldwide license to use the final video for the purposes outlined in the project proposal.
- The Producer reserves the right to use the produced video for promotional purposes unless otherwise agreed in writing.
7. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of the Project.
8. Cancellation
- If the Client cancels the Project after work has commenced, the Client agrees to pay for all work completed up to the point of cancellation.
- The initial deposit is non-refundable.
9. Liability
- The Producer's liability is limited to the total amount paid for the Project.
- The Producer is not responsible for any consequential damages or lost profits.
10. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from acts beyond its reasonable control, including but not limited to acts of God, acts of war, epidemics, or government actions.
11. Governing Law
This agreement shall be governed by and construed in accordance with the laws of [Your State/Country].
12. Entire Agreement
This agreement constitutes the entire understanding between the parties and supersedes all prior agreements, representations, and understandings.
